1. Who we are

These Terms of Service govern your access to and use of Distiq, Rankvia, our websites, applications, dashboards, content, tools, software, and related services.

Distiq and Rankvia are operated by Vitaleo Naturals SL, trading as Distiq and Rankvia.

2. Acceptance of these terms

By accessing or using Distiq or Rankvia, creating an account, starting a subscription, or using any part of the service, you agree to these Terms of Service. If you do not agree to these terms, you must not use the service.

If you use the service on behalf of a company, organization, or other legal entity, you confirm that you have authority to accept these terms on its behalf.

3. Description of Distiq and Rankvia

Distiq develops software tools that help businesses improve online distribution and visibility. Rankvia is Distiq's search and AI visibility product. Rankvia helps users analyze websites, generate a business profile, identify SEO and AI-search content opportunities, create briefs and drafts, and manage a content workflow.

Rankvia is intended to support content strategy and execution. It does not replace professional SEO, legal, editorial, compliance, or business advice.

4. Eligibility and account registration

You may need to create an account to access certain features. You must provide accurate and current information and keep your login credentials secure.

You are responsible for all activity that occurs under your account, including activity by team members, collaborators, or anyone with access to your workspace.

5. Business and professional use

Rankvia is primarily intended for businesses, founders, marketers, agencies, ecommerce brands, SaaS companies, and other professional users. If you use the service as a consumer, nothing in these terms limits any mandatory consumer rights that may apply under applicable law.

6. User responsibilities

You are responsible for:

  • the websites, URLs, prompts, instructions, and materials you provide;
  • reviewing any analysis, recommendations, briefs, drafts, or outputs;
  • ensuring your use of the service complies with applicable laws;
  • ensuring your content does not infringe third-party rights;
  • ensuring claims, statements, and marketing content are accurate and lawful;
  • deciding whether and how to publish or use any generated content.

7. Acceptable use

You must not use Distiq or Rankvia to:

  • violate applicable laws or regulations;
  • infringe intellectual property, privacy, or other rights;
  • generate or distribute unlawful, misleading, fraudulent, abusive, or harmful content;
  • attempt unauthorized access to systems, data, accounts, or networks;
  • interfere with, overload, or disrupt the service;
  • reverse engineer, scrape, copy, or misuse the service except where legally permitted;
  • use the service to create spam, malware, phishing, or deceptive content;
  • misrepresent AI-generated content as professionally verified advice.

8. Website analysis and connected services

Rankvia may analyze public website pages, metadata, website structure, page content, search-related signals, and other information you choose to provide or connect.

If you connect third-party services such as Google Search Console or a future CMS integration, you authorize Distiq to access and process the relevant data from those services to provide the Rankvia service. Third-party services are governed by their own terms and policies.

9. AI-assisted outputs

Distiq and Rankvia may use artificial intelligence systems to generate analysis, recommendations, briefs, outlines, drafts, summaries, metadata, internal-link suggestions, and other outputs.

AI-assisted outputs may be incomplete, inaccurate, outdated, duplicated, unsuitable, or non-compliant for your specific business, industry, or jurisdiction. You are responsible for reviewing, editing, approving, and validating all outputs before relying on them or publishing them.

10. No guarantee of results

Distiq does not guarantee rankings, traffic, impressions, clicks, conversions, revenue, citations, inclusion in search results, inclusion in AI answers, or performance on Google, ChatGPT, Perplexity, Gemini, social platforms, or any other third-party service.

Search engines, AI systems, and third-party platforms are outside Distiq's control and may change their algorithms, policies, rankings, indexing, or content treatment at any time.

11. User content and generated content

You retain ownership of the content, website materials, prompts, instructions, data, and assets you provide to the service.

You grant Distiq a worldwide, non-exclusive, limited license to host, process, analyze, transform, display, and use your content as needed to provide, maintain, secure, and improve the service.

Subject to your compliance with these terms and payment of applicable fees, you may use the generated outputs created for your account for your business purposes. Distiq retains ownership of its software, systems, workflows, models, prompts, designs, interface, technology, and underlying service.

12. Confidentiality and sensitive information

You should not submit highly confidential, regulated, or sensitive information unless it is necessary for your use of the service and you have the right to provide it.

You must not submit passwords, secret keys, payment card data, health records, government identification documents, or other highly sensitive data through prompts, support forms, website analysis inputs, or feedback forms.

13. Subscriptions and billing

Some features may require a paid subscription. Subscription plans, prices, included usage limits, billing periods, and renewal terms will be shown at checkout or in the billing area before purchase.

Unless otherwise stated, subscriptions renew automatically at the end of each billing period until cancelled. You authorize us and our payment processor to charge the applicable fees, taxes, and other amounts using your selected payment method.

14. Plan limits and usage

Plans may include limits such as websites, monthly planned topics, briefs, drafts, generated articles/pages, AI usage, integrations, or other product features. Limits may be enforced per website, per workspace, per billing period, or as otherwise described in the product.

Distiq may update plan limits, introduce new limits, or change plan features from time to time. Changes will not affect your current paid billing period in a materially adverse way unless required by law or necessary for security, misuse prevention, or service integrity.

15. Taxes

Prices may exclude taxes unless stated otherwise. Depending on your location, billing information, and tax status, applicable VAT, sales tax, GST, or similar taxes may be added at checkout or invoicing.

If you provide a valid business tax identification number and the transaction qualifies for reverse charge or similar treatment, taxes may be handled according to applicable tax rules.

16. Cancellation

You may cancel your subscription through the billing area or by contacting us if a self-service cancellation option is not available. Unless otherwise stated, cancellation prevents future renewals but does not automatically refund fees already paid for the current billing period.

After cancellation, you may retain access until the end of the paid billing period, unless the account is terminated for breach, misuse, or security reasons.

17. Refunds

Unless required by applicable law or expressly stated in a separate refund policy, subscription fees are generally non-refundable once a billing period has started.

We may consider refund requests on a case-by-case basis, especially in cases of duplicate charges, technical billing errors, or service access issues. To request a refund, contact us at info@distiq.ai.

Nothing in this section limits any mandatory consumer rights that may apply under applicable law.

18. Third-party providers

Distiq may use third-party providers for hosting, authentication, databases, payments, email delivery, analytics, monitoring, AI processing, website crawling, search data, and integrations.

We are not responsible for third-party services outside our reasonable control. Your use of third-party integrations may also be subject to the third party's own terms and policies.

19. Service availability and changes

We aim to provide a reliable service, but we do not guarantee that the service will be uninterrupted, error-free, secure, or available at all times.

We may modify, suspend, restrict, or discontinue parts of the service to improve the product, maintain security, comply with law, manage capacity, or address misuse.

20. Beta and early access features

Some features may be offered as beta, early access, experimental, or preview features. These features may be incomplete, unstable, changed, limited, or discontinued at any time.

21. Intellectual property

Distiq retains all rights, title, and interest in and to the service, including the software, interface, workflows, systems, documentation, visual design, trademarks, logos, and proprietary technology.

You may not copy, modify, distribute, sell, lease, or create derivative works based on Distiq's proprietary materials except as permitted by these terms or applicable law.

22. Privacy

Our processing of personal data is described in our Privacy Policy. You should review the Privacy Policy to understand how we collect, use, store, and protect personal data.

23. Suspension and termination

We may suspend or terminate your access to the service if you breach these terms, fail to pay applicable fees, create security or legal risk, misuse the service, or use the service in a way that could harm Distiq, other users, or third parties.

You may stop using the service at any time. Certain obligations, including payment obligations, ownership provisions, disclaimers, limitations of liability, and dispute provisions, will survive termination where applicable.

24. Disclaimers

The service is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not make warranties that the service will meet your requirements, produce specific results, be free from errors, or be suitable for your specific business, industry, or jurisdiction.

25. Limitation of liability

To the maximum extent permitted by applicable law, Distiq and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, search rankings, traffic, or business opportunities.

To the maximum extent permitted by applicable law, Distiq's total liability for any claim relating to the service will be limited to the amount you paid to Distiq for the service during the three months before the event giving rise to the claim.

26. Indemnity

You agree to indemnify and hold harmless Distiq, its operators, officers, employees, contractors, and partners from claims, damages, liabilities, costs, and expenses arising from your content, your use of the service, your breach of these terms, or your violation of applicable law or third-party rights.

27. Changes to these terms

We may update these terms from time to time. If changes are material, we will take reasonable steps to notify users, such as through the website, dashboard, email, or other appropriate channels.

Your continued use of the service after updated terms take effect means you accept the updated terms.

28. Governing law and jurisdiction

These terms are governed by the laws of Spain, unless mandatory law provides otherwise.

Subject to any mandatory consumer or user protection rules that may apply, the courts of Barcelona, Spain, will have jurisdiction over disputes relating to these terms or the service.
